I agree to the Affiliate Sign-up Agreement. EMJV Partners Program Contract Terms & Conditions The following are the terms and conditions (this "Agreement" or the "Terms") for EMJV Partners that direct potential customers to any purchase of Empire Websites (“EM Sites") and where The Empire Method® has agreed to pay that affiliate ("you") for facilitating customer sales. 1. Acceptance: By submitting your application to become an EMJV Program Partner of The Empire Method®, you agree to be bound by the Terms as stated herein without modification. 2. Nature of the Relationship: The nature of the relationship between The Empire Method® and you will be that of independent contractors for all purposes and in no event will any person employed by you be held or construed to be employees of The Empire Method®. 3. Ownership and use of The Empire Method® Materials: The Empire Method® retains complete ownership and all rights to the The Empire Method® Materials. This includes any legal materials, documents, contracts, software, products, web links, websites, promotional material, and trade secrets. You do not have the right to use, redistribute, resell, or change any of the The Empire Method® Materials without prior written consent. You do not have the right to use any The Empire Method® Materials for third party or competitive use. All use of The Empire Method® Materials, with or without prior written consent, will cease after termination of this agreement. 4.Trademarks and other Intellectual Property: You acknowledge that all rights in any registered trademarks or any pending trademark registrations associated with the business of The Empire Method® (i.e., trademarks, service marks, slogans, logos, designs and other similar means of distinction), including all goodwill pertaining thereto, shall be the sole property of The Empire Method® You may use and display such trademarks only in the manner and for the purpose authorized by The Empire Method® and only during the Term of this Agreement. The Empire Method® reserves the right to add to, change, or discontinue the use of any trademark it owns, on a selective or general basis, at any time. You shall not use any trademark or trade name of The Empire Method® in any corporate, partnership or business name without The Empire Method® 's prior written consent. 5.Term: This Agreement will be for an indefinite term and can be terminated immediately without cause by either The Empire Method® or you by providing notice to the other party. Upon termination, you will stop using The Empire Method® Materials and you will discontinue any use of the The Empire Method® trademark. 6. EMJV Partners Compensation: The Empire Method® agrees to pay you a one-time per sale commission of ten percent (10%) of all EM Site Package sales. Affiliate links have a cookie duration of 180 days (6 months), no commissions will be paid outside of the 180 day mark. Commissions apply to purchase price and do not include monthly/yearly subscription renewals, hosting renewal fees, or any other services. Payments are calculated after a 14-day cancellation waiting period, this period is granted to all The Empire Method® clients and gives them ample time to review the product and request a refund if they so choose. After the 14-day cancellation waiting period has expired, all approved EMJV Partners commissions will be calculated and paid on the last day of the month. You will be responsible for paying your own taxes. You will be granted access to our EMJV Partners affiliate portal to review your commission reports. 7. Price Changes: The Empire Method® reserves the right to lower or increase EM Site Package prices at any time. In the event this occurs you agree to accept the revised commission on the new package prices. The Empire Method® also reserves the right to renegotiate EMJV Partners commission percentages in the event of considerable EM Site Package price increases or decreases. In the event that EMJV Partners commission percentages need renegotiating, we will email you to inform you of these changes within 7 business days prior to our price change going public. If there are pending commissions you will be paid as per your EMJV Partners percentage agreement at that time, and only new sales will be affected. 8. Discounts: EMJV Partners of The Empire Method® are allowed to offer discounts to potential customers provided the discounted amount comes out of their commission. To ensure this discount is applied correctly and you are paid the difference please email sarah@theempiremethod.com with your request. The Empire Method® will not honor any discount request without prior approval or knowledge of this promise. EMJV Partners can request a coupon code for their desired discounted rate/sale at any time, please allow up to 7 business days for delivery of the coupon code. From time to time The Empire Method® will offer discounts, especially during seasonal or high sales potential months, in which case all EMJV Partners sales will be that of 10% of the discounted price set on The Empire Method® website. 9. Confidentiality: You may be given or obtain access to non-public information that The Empire Method® considers to be of a confidential, proprietary, or trade secret nature, including, but not limited to, customer information, pricing, financial and operational information, business information and marketing information, in whatever form or media, whether or not marked as confidential (collectively "Confidential Information"). You agree not to use any Confidential Information disclosed to you by The Empire Method® for your own use. You also agree to not disclose any Confidential Information to third-parties or competitors under any circumstance. Legal action will be taken if there is any breach discovered in our confidentiality clause. 10. Limitations of damages: The Empire Method® will not be liable to you for any exemplary, punitive, special or consequential damages, including lost revenues, lost profits or lost prospective economic advantage arising from any act or omission in performance or failure to perform under this Agreement, even if The Empire Method® is at fault and/or knew or should have known of the possibility thereof, and you hereby release and waive any claims against The Empire Method® regarding such damages. 11. Conduct: You agree to conduct yourself with due regard to public conventions and morals and agree that you will not do, or commit any act that will tend to degrade The Empire Method® or bring it into public hatred, contempt, scorn, or ridicule or that will tend to shock, insult or offend the community. Further, you will not market The Empire Method® Site or products using illegal, unethical, or misleading methods, or inaccurate product promises. Any misleading sales tactics will result in immediate release of the EMJV Partners Program and any remaining commissions due to you will not be honored, no exceptions! 12. Modification: The Empire Method® reserves the right to change these terms at any time and to notify you by updating and posting these terms on its Site. The Empire Method® and is not bound by any other modifications to these terms and conditions unless signed in writing by an authorized The Empire Method® officer. 13. Severability: If any term, covenant, condition or provision of this Agreement is held by a court of competent jurisdiction to be invalid, void or unenforceable, it is the parties' intent that such provision be reduced in scope by the court only to the extent deemed necessary by that court to render the provision reasonable and enforceable and the remainder of the provisions of this Agreement will in no way be affected, impaired or invalidated as a result. 14. Governing Law and Notices: In respect to construction, interpretation, validity and enforcement, these Terms are to be construed in accordance with and governed by the laws of the Connecticut. You consent to the exclusive jurisdiction of the courts of Connecticut. Any notice under this Agreement will be in writing and delivered in person or by public or private courier service. All notices will be addressed to The Empire Method® at 589 Pine Street, Bristol, CT 06010. Any notices to you may be delivered to you at the email address in your application.
